  3. Basic Level Membership Fee - The membership fee for the Basic Level is the Sponsor monthly membership fee as listed in the then current schedule, initially free.

Charges:

  1. Custom Web Site Set-up Fee: Upon the commencement of the Premiere Level Membership the Custom Web Site Set-up fee shall be paid, initially three hundred dollars. ($300.00)  In the event that the Premiere Level Member desires to update the custom web site, the update fee of one hundred twenty five dollars ($125.00) shall be paid together with an additional fee for the total number of pages edited (@$35 per page) or added (@$75 per page) at the prevailing rate.
  2. InterNic Fee: Unless the Premiere Level Member has already obtained their Domain Name, we will register your Domain Name for you upon the commencement of your Premiere Level Membership.  You are required to pay this fee to InterNic initially and on the annual anniversary of the registration of your domain name. Custom web site includes both the standard 3 pages provided to Sponsor Members and custom web site.
  3. Domain Server Registration Fee – If as a Premiere Level Member we initially registered your domain name or if you are a Sponsor Level member, we will register your Web Site Name with the Domain Search engines for a one time fee of fifteen Dollars ($15.00)  If we did not register your domain name, then at your choice we will provide you with the IP addresses for our DNS servers so you can register yourself, or we register you on our DNS servers for an hourly fee of $75 per hour measured in 15 minute increments for all time consumed by our tech support team to complete the DNS registration process including telephone calls, e-mail, letters and work online. (This fee structure is a result of anticipation of correcting, collecting and following up on domain name registrations by non-technical persons.) Additionally, if the registrar used by you to register your domain name changes a fee to change  their registration database, then you will be required to pay to us, their fee in advance.
  4. The COT (Cost of transaction) –This includes all payments made by Craft-O-Matic to third parties for actual expenses, charges or fees incurred in the transaction. The merchant transaction fees from customer payments and credit card debit fees or check writing fees for credit card debit or checks we pay you.  These shall be itemized and are the actual fees paid with no mark-ups or margins.  Some of these fees may from time to time be estimated. In such an event, those items will be noted as estimated and affected accounts will be reconciled quarterly and properly adjusted.

Commissions:
All commissions, other than “Referral Commissions”, are earned by Craft-O-Matic when a sale of a Crafter Member’s product is made to a Purchaser User from the online catalogue.  The commission is calculated on the gross sales price as is then currently listed in the online catalogue less any promotions authorized by the Crafter Member that reduce the gross sales price.  Gross sale does not include shipping and handling costs, all of which go to the crafter.

  1. Premiere Level Membership - The commission is twelve and one half percent (12.5%), or the then prevailing rate for that membership.
  2. Sponsor Level Membership – The commission is fifteen percent (15%), or the then prevailing rate for that membership.
  3. Basic Level Membership - The commission is twenty percent (20%), or the then prevailing rate for that membership.

Invoices:
Upon successful completion of a sales transaction with the Purchaser User, invoices will be created.  Whether the sale involves a singe Crafter Member or more than one Crafter Member, a Master Invoice will be created for the Purchaser User and a separate Invoice will be created for the Crafter Member for each item within the master invoice.

Each item on the invoice is treated as a separate transaction for the purposes of shipping and tracking and is given a unique invoice number.  For example, an invoice generated for the Purchaser User with five purchased items, would list five items, each having its own Invoice Number.  A separate invoice is generated for each of the five items and forwarded to the respective Crafter Member.

Payment to the member Crafter is contingent upon certification of shipment of an item.  Therefore, when an order involves multiple items, payment to the respective Crafter Member may be processed on some items, while others items are “back ordered”.  Also, one Crafter member does not need to wait for any other Crafter member to ship their part of the Master Invoice before payment is processed since each item is considered a separate transaction,

Notification of Sale:
After the Invoice for each item is created the Master Invoice and an E-Mail notice that the respective invoice number is being processed will be sent to the Purchaser User and separate invoices will be E-mailed to each Crafter Member that listed that product in the catalogue for that respective item. The E-Mail address used will be the one on file as the username/Email for that Purchaser User and Crafter Member respectively.  This is the same e-mail address used to logon.

Fulfilling The Order:
Upon receipt of each invoice, the Crafter Member should fill the order by properly packing the item, enclosing a copy of the invoice, and shipping the order prepaid with an approved carrier that uses compatible tracking number system.

Certification of Shipping:
When the crafter has completed the shipping of an invoice item, the Crafter Member must certify that the Shipment has been made by using the online form found on the “Invoices” web page, or such other location or page name that may be used from time to time.  The Crafter Member must log onto the page, and must enter the following information for each invoice number:

  1. Purchaser User Number;
  2. Invoice Number
  3. Date Shipped;
  4. Carrier Used;
  5. Tracking Number (issued by Carrier), and
  6. Optionally notes on the shipment (multiple invoices in one box, one invoice in two boxes, etc)

Multi-part Shipments - If one invoiced item consists of multiple parts shipped separately, the tracking numbers of all other parcels for that invoice should be reflected in the notes.  If you are aware of any such items, contact Craft-O-Matic Tech Support or Customer Service so that those items will be listed in the catalogue as “multi-part shipped’ and separate invoices can be issued for each part of the shipment.

    • Items listed as multi-part shipped will have separate invoices generated to simplify tracking and shipping. However, each part of a “multi-part shipped” item IS NOT A SEPARATE TRANSACTION and all parts of a multi-part shipped item must be certified as shipped before the “item” is considered shipped.

Shipping multiple invoices in one parcel - If a Crafter Member elects to ship more that one invoiced item in the same parcel, then for each item, the respective invoice should be enclosed.  NOTE: in such an event, you must use the same “tracking number” for each item enclosed in the same parcel.

It is recommended, but not required, that plastic “Packing List” envelopes be affixed to the outside of the parcel, enclosing a copy of the invoice(s) so that the parcel does not need to be opened to determine its contents, and to assist shippers in reconciling contents in the event of damage to the parcel. The authorized shipper that you can discuss the advantages and disadvantages of uses a packing list.

When a Crafter Member completes the Certification of Shipping, is it a legally binding representation that the “entire item” listed on that invoice, has in fact been shipped as indicated by the information provided in the submission of the online form.  The payment process is begun in reliance upon this certification.

Shipments After 48 Hours - Credit cards are “authorized” but not paid until shipped. If you fail to ship within 48 hours of authorization, your payment may not be processed.  It is your responsibility to request “re-authorization” if your shipment is more than 48 hours after authorization.

Deposits on Custom Items - If your craft Item is customized for the customer, you can have payments processed in two part: (1)the deposit; (2) balance on shipping. This is a special configuration like a multi-part shipment. Contact Craft-O-Matic Tech Support or Customer Service so that those items will be listed in the catalogue as “deposit required.”

Registration and Payments:
When you register as a Crafter Member you must provide a credit card or checking account number for your account. This account will be used for direct payments to you, and for billing payments to us. When we pay you, we will transfer payment via credit card credit, electronic check credit or by issuing you a paper check, depending upon the selections you make and the options offered by your banking institution. When any fees, costs or other charges are incurred against your account, by your registration, you agree to permit us to automatically debit that account for such charges as and when they become due. Some banking institutions require that this type of authorization be in a writing filed with them.  If you have recurring charges that are not pre-paid and in the event a banking institution requests a written authorization, you agree to promptly execute that authorization.  Since our payment and collection system is automated, pending your compliance your Membership will be suspended to avoid violating the bank’s requirements.

Receiving Payment:
Payment to a Crafter Member on an invoice is automatically commenced upon submission of the Certification of Shipment.

The Payment amount is determined by:

  1. Subtracting from the Gross Sales Price in the following order:
    1. The Craft-O-Matic commission on the invoice;
    2. The Cost of transaction between Purchaser and Crafter;
    3. The Cost of transaction between Craft-O-Matic and Crafter, and
  2. Then adding the amount of the standard shipping and handling from the invoice; and finally
  3. Subtracting, if any, outstanding account balances between the Crafter Member to Craft-O-Matic

If the Crafter member elected to be paid by “Credit” to the Crafter Member’s “Account Credit/Debit Card”, then the payment transaction will be initiated and continued until payment is made.  If the Crafter member elected to be paid by check, then a check for the payment amount will be scheduled for payment with the bill paying service for the next payment date, which are approximately the 1st and 15th of each month.

Craft-O-Matic will notify the Crafter Member by E-mail that payment has been made.  Crafter Members may also review online reports, when available, that show unshipped invoices, shipped invoices and payment status.

Tracking Shipments:
Upon submission of the Certification of Shipment, the tracking number for the invoice will be available online as a hyperlink to the approved shippers that support this system.  Either the Purchaser User or Crafter Member on that invoice, may open the Shipping Tracker to determine the status of the shipment.

Exchanges and Returns:
The thirty (30) day return policy starts on the day that the Purchaser User receives the item from the authorized shipper and is based upon consecutive calendar days.  If the request is made within this period, the Crafter member must accept the return or exchange of the item.

Shipping Costs - Return shipping from the Purchaser User to the Crafter Member is to be paid by the Purchaser User, but from the Crafter Member to the Purchaser User, the shipping is paid by the Crafter Member.  Crafter Members may not charge shipping, restocking fees, or any other charge or fee when fulfilling the 30 day return policy.

Damages from Shipping – Crafter Members should promptly replace items that have been damaged in shipping once the Purchaser User has properly submitted the appropriate claim form with the shipper.  Then the Crafter Member should pursue compensation from the shipper for the damages caused in shipment.  Never place the Purchaser user in the middle between yourself and the shipper.  If you need assistance in resolving matter with a shipper, feel free to contact customer service at Craft-O-Matic. We will not resolve or settle this for you, but we will gladly help you with whatever clout we may have, since “authorized” shippers will get no Craft-O-Matic business if their “authorization” is removed.

Exchanges – If a Purchaser User requests an exchange during the thirty (30) day return period it must be honored.  If there is a dispute concerning whether damage to the item was “caused” by improper packing or improper handling by the shipper that is really a dispute between the shipper and the Crafter and has nothing to do with the Purchaser as long as the Purchaser has completed any necessary claim forms with the shipper.  As long as the Purchaser User has filed the damage claim with the shipper or authorized you to file the claim on their behalf, to the extent you can do so, then there is no justification is delaying a requested exchange.

Returns & Refunds – The following applies to all returns and refunds requested during the thirty day return period:

  1. Craft-O-Matic does not handle returns.  If a Purchaser User attempts to return an item to Craft-O-Matic, the Crafter Member will be notified,  Any shipping costs from Craft-O-Matic to the Crafter will be at the expense of the Crafter Member.
  2. Crafter Members shall handle returns directly with Purchaser Users .  They may do so in any manner they desire so long as they do not violate the thirty (30) day return policy.
  3. Notification of Refund Requests. If a Purchaser User requests a refund from Craft-O-Matic with the thirty (30) day return period, Craft-O-Matic will notify the Crafter Member.
  4. Refunds Conditional on Returns. Crafter Members may make receipt of the returned item a condition precedent to issuance of a refund.  Only the request for the refund has to be made within the thirty (30) days, the actual return may be after the thirty (30) day period.
  5. Shipping and handling charges are not refundable to the Purchaser User.
  6. Mailing Refunds. Once the return item is received by the Crafter Member the refund to the Purchaser User shall be postmarked not later than five business days after the returned item was received.
  7. Commission Refund. Craft-O-Matic will refund its commission to the Crafter Member when requested to do so by the respective Crafter Member provided however, the Purchaser User refused to exchange the item.  If the Purchaser User offered to accept an exchange, or is then willing to accept an exchange, but the Crafter member refused or still refuses to exchange the item, then no portion of the Craft-O-Matic commission will be refunded.
  8. Costs of Transaction are not refundable by Craft-O-Matic to a Crafter member.

Special Member Terms, Conditions and Benefits:
Craft-O-Matic provides a different set of services and benefits for Crafter members at different membership levels.  The set of services that applies to you would be those listed on the Crafter Membership Level pages for your membership level at the time of the commencement of your membership. Initially these special services and benefits are as follows:

Preferential Listing in Search Results:
When a user searches the online catalogue the results are displayed in a sort order which gives a preference to higher level members having the longest length of continuos membership.

The Search Result Display Order is as follows:

    1. Items that match the search criteria are broken into three groups and displayed in this order:
      1. Premiere
      2. Sponsor
      3. Basic
    2. Within the premiere and Sponsor group:
    3. Within the Basic group the sort order is by item title or by criteria selected by the user
      • the first sort order is by Crafter date of Continuos Membership at that level, oldest memberships first through newest memberships
      • the second sort order is by item title or by criteria selected by the user

Membership Commencement Dates are Not Transferable Between Membership Levels.  A Crafter that joins as a Basic Member, and continues at that level for 24 months, then upgrades to Premiere level does not transfer the original Basic Membership Level commencement date to their Premiere Level membership.  In this example, another member that joins twenty three (23) months later as a Premiere member will have a longer Continuous Premiere Membership than former member.

 Membership Dates Reset If Membership Lapses – A continuos membership is one that has been continually renewed without a lapse. If a Crafter Member’s membership lapses and that member joins again at the same membership level, they have not renewed, they are a new member with a new membership commencement date.

Suspension or Termination of Membership – The terms of a suspension could include lapse of membership.  If lapse of membership is not explicitly made a term of the suspension then the suspension itself is not a lapse so long as the membership has not terminated or lapsed for other reasons.  A termination of a membership is always a lapse.

Prohibited Items and Listing Other Crafter’s Items – Crafter Members shall only list their own craft items in the online catalogue. This means craft items that they or their family have made and which are not distributed by anyone other than themselves.  A Crafter member may list hand made craft items made by others only if they have the “an exclusive right to distribute those items in the United States” and are in fact the exclusive distributor of such products.  Violation of this term is a breach and may result in suspension or termination of membership.

 Examples of Prohibited Listings

  1. Purchasing hand made item wholesale from a Chinese importer without “an exclusive right to distribution all such items in the United States” and then listing those items in the online catalogue
  2. Manufacturing Crafts completely by machine (Crafts by definition must be made at least in part “by hand”);
  3. A Premiere Crafter lists items made by a crafter friend because the crafter friend wants his craft items to get a higher ranking in the search results.

Member Web Sites:
When a user browses the Virtual Craft Show, they peruse a Craft Show floor plan analogy with Crafter Booths that are hyper-linked to Crafter Member Web sites. The following applies to those web sites:

  1. Booths – Premiere members receive a double Booth or two single booths and Sponsor members receive a single Booth. Double Booths are located along the main corridors and in other prime locations. Double Booths may not be split. Selection of booths is made in order of membership date as may be available at the time of the commencement of the respective membership.
    • In the event of the lapse of a membership, the former member’s booth will be available for relocation by existing members, first to Premier then to Sponsor level , then offered to new members, senior memberships first within their group.
  2. Standard Web Site – Premiere and Sponsor Members receive a standard three (3) page website that they populate with text and images by using the online forms. Booths in the Virtual Craft Show are hyper linked to the standard web site. Navigation controls are provided and may not be modified by the member.  Client side scripts or hyperlinks may not be inserted by the member into standard pages.  It is intended that these websites have a uniform feel for user comfort and simplicity, although they may look quite different.  These pages may be modified by the Member as often as desired. There is no fee for set-up or modification of the standard website.  The standard web site may no exceed 5 MB of storage space.
  3. Custom Web Site – Premiere members additionally receive a custom web site having the following features and benefits:
    • 7 page custom website that is professionally designed for them by our technical team, for a total web site size of 10 pages (7 custom and 3 standard). Additional pages can be added for a fee to be determined depending upon what is requested.
    • The hyperlink from the Virtual Craft Show may be to either the Custom Web Site or the Standard Web site.
    • The Premiere Crafter’s Domain Name will be registered to the default page of the custom web site.  In other words, when a customer enters your domain name into the URL address box of their browser, they will go directly to your website’s home page, not Craft-O-Matic’s
    • All advertising commissions, if any, generated from advertising and/or affiliate programs from the Custom web site are the property of the respective Premiere member.
    • Total storage space is 20 MB shared between website and E-mail.
    • Online Web Reports from site usage will be available for you 24/7 to check everything from the number of hits to the most used referrer, peak usage periods, top entry and exit points, new users and many, many more facts about your website.
  4. List Only – The $300 set-up fee will be waived if a Premiere Member does not want to utilize the Custom Web Site, but desires to link their booth in the Virtual Craft Show with a websites not created and hosted by Craft-O-Matic.
    • However, all members of any Membership level, that have one or more other web sites that sell or describe craft items agree to permit an hidden and embedded Craft-O-Matic counter on their pages to check cookies for bypassed Craft-O-Matic users.
    • Craft-O-Matic earns a referral commission on all crafts purchased from Crafter Members on another website by Craft-O-Matic Purchaser Users, customers or users.

  3. Prohibited Use of SPAM – Unsolicited commercial E-mail is known as SPAM. We have an extremely passionate and strict prohibition against SPAM.

    • You may send e-mail to your customers, that is, Purchaser Users that have actually purchased something from you unless the reason for the contact is to promote or advertise new products, offers or specials and they have “opted-out” or told you not to contact them with new offers or specials.  If you use our e-mail list generator, it provides an online “opt-out” option form for your customers, so we will never hold you liable for issuing SPAM through our e-mail list generator, even if the customer subsequently complains to us about receiving SPAM from you.

Featured Listings:
Premiere members qualify for advertising space on the Home page of Craft-O-Matic in the “Featured Crafters” display area.  We anticipate offering an online form to place and schedule your featured listings. Until that is implemented, featured listings will be added and updated through tech support.  Scheduling and location selection is on a first come first serve basis for paying advertising.  Promotional featured listings will be placed at the times in the locations chosen by Craft-O-Matic.  A promotional listing that is scheduled for a specific date and location may at Craft-O-Matic’s sole discretion, be bumped to a different date and location as long as the new date is within the period promised within the promotion.

Crafter Specials:
We anticipate offering a service that allows Crafter members at different levels to offer Specials, discounts or promotions on all or some items. However, this feature in not expected to be implemented until 2001.

Referral Commissions and Rebate Coupons:
A customer may discover a Member’s Craft Item on the Craft-O-Matic site, but for whatever reason, does not purchase the item online, but does subsequently purchase the item from the Member Crafter.  In this sceniario, Craft-O-Matic earns a referral commission.

  1. When Earned and Amount – The Referral Commission is earned on the sale when a valid Craft-O-Matic coupon is presented at the point of sale to the Member Crafter. The referral commission is one half of the normal commission.  The coupon discount is one half of the normal commission.

    1. If the information matches, an e-mail is sent to customer service to look for the check matching the validated coupon information.
      • When the check for the coupon is received from the Member Crafter for the validated coupon, it is deposited by Craft-O-Matic;
      • After the check clears, the referral commission is retained and a Craft-O-Matic check is issued and mailed to the purchaser for the amount of the coupon discount, and
      • An E-mail notice is sent to the Member Crafter and Purchaser advising them that the Rebate Check has been issued.

    3. After 14 days past the date of sale, if the Member Crafter has not completed the coupon form and/or the Check for the referral fee and discount have not been received, and/or the information does not match, the Account of the Crafter Member may be suspended or the outstanding amounts may be deducted from other sales, or other actions may be taken.
